Most Pakistani founders who decide to formalise their business head straight to SECP or a consultant and start incorporating, before they have worked out what kind of business they actually need to register. That order is backwards, and it costs them.
Company registration in Pakistan involves decisions that come before SECP at all. The structure you choose, sole proprietorship, partnership, single member company, or private limited company, decides which body registers you, how you are taxed, and how much compliance you carry. Get that wrong and you pay for it every year.
This covers the decisions that come before SECP, how the structures compare, and how registration works for each.
The decision that comes before company registration

The core confusion is that founders treat registering a business and incorporating a company as the same thing. They are not, and clearing that up saves real money.
The four main business structures
There are four structures worth knowing. A sole proprietorship has one owner, registers with FBR for an NTN and optionally with a local Chamber of Commerce, and does not touch SECP at all. It is the cheapest and simplest to run. A partnership, or AOP, has two or more owners, registers with FBR as an Association of Persons on the basis of a partnership deed, and also stays outside SECP in most cases.
A Single Member Company, the SMC, has one shareholder, is incorporated with SECP, and gives you limited liability with more compliance than a proprietorship. A private limited company has two or more shareholders, is incorporated with SECP, and is the standard structure for businesses chasing investment, corporate contracts, or serious growth.
So what is SECP in Pakistan? The Securities and Exchange Commission of Pakistan is the regulator that incorporates companies, and it handles only SMC and Pvt Ltd registrations. SECP registration is required for companies alone, not for sole proprietorships or partnerships.
Which structure fits which business
A sole proprietorship suits freelancers, small traders, service providers, and home-based businesses. Low cost, low compliance, and full personal liability. An AOP suits two or more founders starting together without needing outside investment or limited liability, which is why professional firms of doctors, lawyers, and consultants often use it.
A private limited company in Pakistan suits businesses seeking external investment, those contracting with large corporations or the government, and those planning to scale with multiple shareholders. Pvt Ltd is the most searched structure because it is the expected format for startups, and it is also where the most common founder error sits. People register a Pvt Ltd immediately because it sounds more professional, then meet the compliance and cost overhead before earning a single rupee.
Sole proprietorship registration

The proprietorship is the most common business form in the country and the least documented, so it is worth walking through properly.
How to register a sole proprietorship
Sole proprietorship registration does not go through SECP. It is a tax and banking process. First, register with FBR to get an NTN, using your CNIC and business address, done through the IRIS portal. Second, optionally register the business name with your local Chamber of Commerce or trade association.
Third, open a business bank account in your name trading as the business name, for which most banks want your CNIC, NTN, and a utility bill. There is no separate sole proprietorship registration certificate from any government body. The NTN and the bank account are the functional registration documents. The whole process can be done in one to two weeks if your papers are ready.
Tax treatment for sole proprietorships
A sole proprietor’s income is taxed as individual income under the progressive rate structure for individuals. You file an income tax return as an individual, declaring business profit alongside any other personal income.
No separate corporate rate applies. That is a simplicity advantage at lower income and a possible disadvantage higher up, where corporate rates can be lower than the top individual slabs. How to register a company in Pakistan with SECP

If a company is the right structure, the SECP process is now fully online and faster than its reputation suggests. Here is what it involves.
What SECP does and the eZfile portal
The Securities and Exchange Commission of Pakistan is the regulator for capital markets, insurance, and non-banking financial companies, and it is the registrar of companies under the Companies Act 2017. It runs the online incorporation system at secp.gov.pk.
Online company registration in Pakistan now runs through SECP’s eZfile platform, also called LEAP, which replaced the older e-Services flow. Since the platform’s rollout, you can incorporate a company entirely online without visiting an SECP office, with submission, payment, and certificate issuance all handled digitally.
Documents required for company registration
For an SECP incorporation you need the CNICs of all directors and shareholders, a proposed company name subject to SECP’s availability check, and the Memorandum and Articles of Association, for which SECP provides standard templates. You also need a registered office address with a utility bill or tenancy agreement, and the incorporation forms the portal requires.
A private limited company needs a minimum of two directors and two shareholders, who may be the same people, up to a maximum of fifty, with at least one resident director for a local company. An SMC needs one member, who must also nominate a nominee director to take over in the event of their death. Foreign shareholders or directors face additional documentation, including passport copies and attested papers.
Step by Step Online Registration Process Start the process by checking the availability of name at SECP online name search secp.gov.pk Then create an account on the eZfile portal, which issues a PIN that acts as your digital signature.
Next, complete the incorporation application online, upload your documents, and select the company type. Pay the company registration fee, which is charged online and varies by authorised capital. SECP then reviews the application, and if there is no objection, it issues a Certificate of Incorporation. To check company registration in Pakistan afterwards, SECP’s online company search lets you verify any registered company by name or registration number. A straightforward application typically clears in three to seven working days.
Company registration fee in Pakistan and what it actually costs

Cost is where founders most often guess wrong, so it helps to separate the government fee from everything else that surrounds it.
SECP fees for Pvt Ltd and SMC registration
The company registration fee in Pakistan is charged on a sliding scale based on your authorised share capital. There is no minimum paid-up capital for a private limited company under the Companies Act 2017, so the fee scale simply starts at its lowest tier, which corresponds to an authorised capital of around PKR 100,000, the figure most founders use as a practical baseline.
Private limited company registration fees at that minimum capital sit at the bottom of the scale, and SMC fees follow the same schedule. The fee is paid online at the time of application, with no offline route.

Total cost including professional fees
The SECP fee is only the government charge. Most founders also use a lawyer or a registration service, and those professional fees run from a few thousand rupees for a basic filing up to more for a full package that bundles a registered office, company secretary, and NTN registration.
So the real cost of Pvt Ltd registration is higher than the SECP fee alone, and it is worth budgeting for honestly before you start. Then there are post-incorporation costs, NTN registration with FBR, opening a bank account, and first-year compliance in the form of statutory accounts and an annual return.
What founders skip and why it matters
This is the part the title promises, and it is where the money quietly leaks. Two things get skipped most often.
The pre-registration decisions that set your compliance burden
Founders pick a Pvt Ltd without grasping the annual obligations that come with it, filing annual accounts with SECP, holding Annual General Meetings, keeping statutory registers, and filing with FBR as a company, which differs from filing as an individual. That is a standing workload from day one.
They also skip the name check. A trading name already used by another entity may not be available, so checking name availability before you commit to branding is step zero, not step three. And even a sole proprietorship benefits from separating personal and business finances from the start, for the sake of clean accounts alone.
After registration the compliance clock starts
An SECP-registered company carries compliance obligations from the date of incorporation, whether or not it has started trading. Miss the annual return filings and you face penalties, and eventually the company is struck off the register.
FBR registration is separate from SECP. A company incorporated with SECP that never registers with FBR is not tax compliant, because online company registration through SECP does not create FBR registration automatically. They are two processes on two portals, and both have to be done.
